In 2022 Musk agreed to buy Twitter for $44 billion. On May 13, 2022 he tweeted that the deal was “temporarily on hold” while he checked whether fake and spam accounts were really under 5% of users. On May 17 he tweeted that the deal “cannot move forward” without proof.
The investors alleged this was a pretext to push the price down or walk away, and that the first tweet sent Twitter shares down 18% over two trading days. People who sold in that window sold at depressed prices.
The jury agreed in part. It found Musk made a false and misleading statement in violation of Section 10(b) of the Securities Exchange Act of 1934. It rejected the claim of an intentional scheme to defraud and cleared him over statements he made on a podcast.

Who Can Claim in the Twitter Case
The class is everyone who sold publicly traded Twitter stock or call options, or bought Twitter put options, from May 13, 2022 through October 4, 2022, both dates inclusive, and who suffered damages. Musk and anyone who opted out earlier are excluded.
Two traps. First, holding shares until the buyout closed does not count — the claim is for selling during the depressed window. Second, if you bought and sold inside the window, the per-share amount may be reduced to offset gains.
